Population health.  Bundled payments and alternative payment systems.  Control of discharge pathways, and of the overall quality of care provided to patients once outside the hospital.  These are issues that are transforming health care and how it is delivered, but for which the solutions must extend well beyond the traditional core acute care business.  Senior living and care is an integral part of the puzzle in addressing these formative issues, which is leading more acute-based providers to develop strategies to extend their umbrella to encompass such services.  Without a doubt, there are tremendous opportunities in and benefits to an integrated senior living and care platform.  But this is a business that works differently than acute care and for which there also are potential pitfalls, particularly for acute care providers to whom this business is new and ancillary to the core operation. 

 This webinar will explore integration strategies to take advantage of opportunities and get the most benefit out of a senior living and care platform (and how this might work and what it could look like), while also identifying potential challenges and outlining lessons learned from extensive experience in the senior living and care space and in particular from working with health systems with or expanding into this business.     

Learning Objectives
Provide insight into how an integrated senior living and care platform provides opportunities to better address these formative issues.  This would include an exploration of topics such as:  
     -Pre-acute vs. Post-acute solutions
     -Geriatric care management
     -Senior living as a margin driver and/or lower cost of care setting
     -Facilities based vs. non-facilities based solutions

Discuss options and structure for execution of an integrated senior living and care platform and how these impact key dynamics for the acute care provider such as risk, reward, and control. 

Provide case studies from recent experience to illustrate how existing systems have addressed integration strategies and execution, with an eye towards mitigating potential impact on debt capacity of the overall system.  

Provide guidance and insight regarding corporate structure and governance matters pertaining to an integrated senior living platform
     -Address emerging fiduciary duties for senior living board members and management
     -Discuss choice-of-entity issues and management profile
     -Identify key agreements across the integrated senior living and care platform with a focus on:
             -Minimizing liabilities between related entities
             -Understanding critical terms for agreements across platform
             -Risk allocation techniques

Identify trends in the senior living and care industry, and legal considerations involving these trends
     -Identify specific technologies and care innovations disrupting the senior living space
     -Identify legal considerations associated with increasing use of technology and in-home care
     -Discuss shift towards managed care, including ACO participation

Highlight legal issues regarding non-facilities based solutions to integrated senior care

Hinckley, Allen & Snyder LLP is a premiere regional law firm with offices in Massachusetts, New Hampshire, Rhode Island, Connecticut, and New York.  Anne and Jared are resident in the firm’s Health Care Practice Group, which regularly counsels and advises health systems, physician organizations, long term care facilities, and senior living providers on regulatory and legal issues, governance, and risk management.  Both Anne and Jared bring a unique perspective to Hinckley’s practice group based on their respective experience in health care administration.  Anne, a partner with over 30 years of health law experience, is the former Senior Vice President of Legal Affairs and General Counsel of Rush University Medical Center in Chicago, Illinois.  Prior to her time at Rush, she  served as the head of the health law practice of an national law firm and as Chief Counsel of the Illinois Department of Public Health.  Jared served as an Assistant Administrator of an Assisted Living and Specialized Care Residence in the Boston area prior to embarking on a career in law, and worked as an intern to the General Counsel of the Massachusetts Executive Office of Elder Affairs while in law school.
